1. Introduction and Our Services

Captime.hk is a platform that assists individuals and businesses in incorporating companies in Hong Kong. The website is operated by Captime Corporate Management Limited, a licensed Trust or Company Service Provider (TCSP) with license number TC010212.

We use the details you provide on our order forms to prepare and file the necessary incorporation documents with the Hong Kong Companies Registry. In this process, Captime.hk acts as the incorporator and organizer.

Important Notice: Captime.hk is not a law firm. Neither Captime.hk nor its employees or agents provide legal advice, legal services, or legal consultation. We make no representations or warranties (express or implied) regarding the legal or other consequences of using our services or documents.

The information on this website is for general informational purposes only and is not a substitute for professional legal advice tailored to your specific circumstances. You should consult a qualified lawyer for advice on your individual situation.

2. Processing Time and Limitations

We strive to process incorporation orders promptly. However, during periods of high demand, processing times may exceed the estimates shown on our website or the government’s site. Captime.hk does not guarantee any specific processing time. Delays may occur for reasons including (but not limited to):

  • Unavailability of the proposed company name
  • Existence of a similar name
  • Unusual or complex name requirements
  • Misplacement or misfiling by government offices

3. Expedited Incorporation

Expedited incorporation services are not available in the following cases:

  • A corporate entity (other than a natural person) is appointed as a director or shareholder.
  • The company has more than six directors or more than six shareholders.

4. Payment and Clearance of Funds

We cannot begin processing your order until funds have fully cleared. Credit card and PayPal payments are typically cleared almost immediately. Bank checks, eChecks, wire transfers, and other payment methods may take significantly longer to clear.

5. Liability and Indemnity

5.1 Captime.hk, its affiliates, directors, officers, employees, and agents shall not be liable for any penalties, fines, or liabilities imposed by the Companies Registry, Inland Revenue Department, or any other authority that arise from your company’s activities or filings. You accept full responsibility for such matters and agree to indemnify Captime.hk against any related claims, losses, or liabilities.

5.2 All instructions regarding your company must be provided to Captime.hk in writing. We may, at our sole discretion, act on verbal or other non-written instructions, but only on the understanding that we accept no liability for any misunderstanding or error.

5.3 Captime.hk shall not be liable for any failure (in whole or in part) to comply with your instructions, nor for any consequences arising from non-receipt of instructions for any reason.

5.4 You agree to indemnify and hold harmless Captime.hk, its affiliates, and their respective directors, officers, employees, and agents from and against all claims, actions, costs (including legal fees), and liabilities arising out of or in connection with these Terms and Conditions or the services we provide.

5.5 Captime.hk is not liable for any loss, damage, or theft of items sent to you via postal or courier services.

6. Courier and Delivery

We cannot guarantee delivery times for overnight couriers such as DHL or FedEx. If a courier package is delayed or misplaced, we will assist you in contacting the courier company to request a refund of shipping charges, but we accept no further liability.

7. Cancellation and Refunds

7.1 All refund requests must be sent by email to [email protected].

7.2 Before incorporation: If you cancel your order after payment but before the company is incorporated and the Certificate of Incorporation is issued, we will refund the incorporation fees less an administration fee of HKD 1,000 (USD 130).

7.3 After incorporation: If you cancel after the company has been incorporated and the Certificate of Incorporation has been issued, please contact our team for further instructions. Note that government filing fees and other incorporation costs will have already been paid and are generally non-refundable.

8. Termination of Services

Captime.hk may terminate or cease providing services to you by written notice if:

  • In our reasonable opinion, you or your appointees fail to comply with these Terms and Conditions; or
  • Legal proceedings are commenced against your company.

In such cases, we may treat these Terms as terminated without further liability on our part. We may also cease providing services immediately and without notice if you fail to observe these Terms and Conditions.

9. Registered Address, Mail Handling, and Business Address

9.1 Mail sent by government agencies (Companies Registry, Inland Revenue Department, etc.) to your company at our registered address is forwarded free of charge as part of our Registered Agent service. However, our address does not automatically become your company’s “business address.”

9.2 If you wish to use Captime.hk’s address for any business purpose (e.g., invoicing, business cards, contracts, website, email signature, or disclosing to third parties other than the Companies Registry and Inland Revenue Department), you must subscribe to our Business Address / Mail Forwarding service.

9.3 Without the Mail Forwarding service and proper documentation, you may not use our address as your business address. We cannot provide lease agreements or business address proof letters, as the address is solely for mail receipt and handling.

10. File Destruction Policy

We reserve the right to refuse delivery of any mail on your behalf. Business correspondence and documents stored at our address that are more than 30 days old may be destroyed, except for items we consider to be of continuing significance. If you require retention of documents, you must subscribe to our Business Address / Mail Forwarding service and notify us in writing.

11. Mail Forwarding Service

11.1 Types of Mail:

  • Standard Mail:Letters or packages delivered by any carrier.
  • COD / Postage Due Mail:We do not accept cash-on-delivery or postage-due items.

11.2 Mail Storage: All mail is stored for a maximum of 60 days from the date of receipt. If you do not instruct us to ship or shred the mail within this period, we reserve the right to shred it without further notice.

11.3 Mail Forwarding: Once we hand over re-shipped mail to the courier or postal service, our responsibility for that mail ends. We are not liable for loss, delay, or non-delivery after handover.

11.4 Annual fee: The yearly mail forwarding fee is HKD 3,000 (USD 390) + HKD 780 (USD 100) credit (the credit may be used toward future shipping and scanning charges). Unused credit carries forward to the next renewal but is non-refundable.

11.5 Shipping Charges(examples):

  • Hong Kong registered post: HKD 230 (USD 30).
  • Express courier: HKD 760 (USD 98).

11.6 Mail Scanning Fees:

  • 1–10 pages: HKD 7.80 (USD 1).
  • 11–20 pages: HKD 15.60 (USD 2).
  • 21–30 pages: HKD 23.40 (USD 3).

11.7 International Shipments: When requesting international forwarding, you consent to us opening and inspecting all packages and letters as required by international laws and treaties.

11.8 Size and Content Restrictions: We cannot accept parcels heavier than 2 kg or larger than 50 cm on any side. We also do not accept dangerous, explosive, flammable, toxic, radioactive, corrosive, or any illegal goods under Hong Kong law. Captime.hk reserves the right to refuse any item sent to our address.

12. Unauthorized or Misdelivered Mail

If mail belonging to another person appears in your account, you must immediately notify us and must not view, read, copy, print, or distribute it. Violation may result in account termination and legal liability.

13. Renewal of Company Services

Annual services (including company secretary, registered address, mail forwarding, annual return (NAR1), Business Registration Certificate (BRC), AGM, nominee services, etc.) must be renewed within 30 days before the company’s anniversary date.

We will send renewal reminders by email approximately one month in advance. It is your responsibility to maintain a valid email address with us and to renew services on time to avoid government penalties. We do not send reminders by physical mail.

14. Nominee Director / Shareholder Services

When you appoint Captime.hk (or our nominee) as director or shareholder, our role is strictly limited. We do not open bank accounts, respond to third parties, sign contracts, or manage the day-to-day business of the company.

If we become aware of any unethical or unlawful activity, we will immediately resign and update the company records with your details (as the beneficial owner) and bill you for associated costs.

If annual services are not renewed on time, the nominee director may resign and re-appoint you (or the previous director) without prior notice.

15. Compliance with Laws and Due Diligence

You agree to comply with all applicable Hong Kong laws, including anti-money laundering, anti-bribery, and taxation laws.

For due diligence purposes, we require the following documents from all clients:

  • Copy of a valid international passport
  • Copy of national identity card or valid driver’s license
  • Proof of address in English (issued within the last 3 months)
  • A clear photo of yourself holding your passport (showing your face and passport details)

We may request additional documents or information at any time. Failure to provide requested documents will result in refusal of services. In cases of non-compliance, we may resign as company secretary and registered address provider and notify the relevant authorities.

16. Special Due Diligence for Certain Clients

Due to regulatory requirements, clients from certain high-risk jurisdictions (including Russia) may be subject to enhanced due diligence and additional fees.

17. Prohibited Countries and Activities

Residents or citizens from the following countries/regions are generally not eligible to use our services: Afghanistan, Bahamas, Belarus, Botswana, Cambodia, Central African Republic, Cuba, Democratic Republic of the Congo, Eritrea, Ethiopia, Ghana, Guinea-Bissau, Iran, Iraq, Libya, Mali, North Korea, Occupied Ukraine (Crimea, Donetsk, Luhansk, Zaporizhzhia, Kherson), Pakistan, Russia (with specific restrictions), Somalia, South Sudan, Sri Lanka, Sudan, Syria, Trinidad and Tobago, Vanuatu, Venezuela, Yemen.

Prohibited Activities include (but are not limited to):

  • Adult entertainment, escort services, massage parlors
  • Gambling, online gambling, lotteries
  • Firearms, ammunition, fireworks
  • Cannabis, marijuana, illicit drugs, or related products
  • Pharmaceutical sales
  • Pyramid schemes, multi-level marketing
  • Shell companies used for unlawful purposes
  • Any activity deemed illegal or contrary to Hong Kong law

We reserve the right to refuse or terminate services for any prohibited activity.

18. Anti-Money Laundering (AML) Declaration

By ordering services, you declare that all funds and assets are from lawful sources and will be used for lawful purposes only. You agree to provide any information requested by Captime.hk or lawful authorities regarding the source of funds. If we discover any false declaration, we will disclose all relevant information to the appropriate authorities.

19. Use of Cookies and Website Security

Our website uses cookies to improve user experience. By using the site, you consent to the use of cookies. We may also use third-party cookies for analytics and advertising.

Payment information is processed securely through SSL encryption, CVV/CVC checks, and 3D Secure authentication where applicable.

20. Bookkeeping and CPA Services

Captime.hk is not a Certified Public Accountant (CPA) firm and does not provide auditing or CPA services. Bookkeeping support is provided as an agent coordinating with independent CPA firms. Any CPA or audit services are provided directly by the independent CPA, and your relationship is with them, not Captime.hk. We are not liable for the actions or omissions of any CPA.

21. Hong Kong Bank Account Introduction

We offer introduction assistance to Hong Kong banks, but we cannot guarantee that any bank will open an account. Bank decisions are entirely at the bank’s discretion. Corporate bank accounts in Hong Kong generally cannot be opened remotely. Captime.hk is not liable for any bank’s refusal or delay.

22. General Disclaimer and Limitation of Liability

To the maximum extent permitted by law, Captime.hk disclaims all warranties (express or implied), including merchantability and fitness for purpose. We are not liable for any loss, damage, or inconvenience arising from the use of our services or website content.

You acknowledge that all information provided by you is true and accurate, and we rely on it without independent verification.

23. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

In the event of any dispute, Captime.hk’s decision shall be final and conclusive.

24. Changes to Terms

Captime.hk reserves the right to update or modify these Terms and Conditions at any time without prior notice. Continued use of our services after changes constitutes acceptance of the revised terms.
