Do I really need a Company Secretary in Hong Kong?
Yes. Under the Hong Kong Companies Ordinance, every private company limited by shares must appoint a Company Secretary. For a single-director company, the secretary must be a separate person or a licensed TCSP firm like Captime.
What does a Company Secretary actually do day-to-day?
We maintain your statutory registers, draft board resolutions and meeting minutes, file your Annual Return (NAR1), handle your Business Registration Certificate renewal, and keep your Significant Controllers Register up to date. We're also the named contact the Companies Registry writes to on your behalf.
Can I switch my Company Secretary from another firm to Captime?
Absolutely — we do this all the time. We coordinate the handover with your previous firm, collect your statutory records, and file the change of Company Secretary with the Companies Registry. Most transitions complete within a week.
What happens if I start at ComSec Easy and add more shareholders later?
We'll move you up to ComSec Pro at the start of your next annual period. You're never charged retroactively for the change.
Are director or shareholder changes included in the fee?
ComSec Pro includes up to 4 change filings per year. ComSec Easy treats changes as add-ons, billed per filing. If you expect multiple changes in your first year, Pro is usually the better fit.
Do your fees include Hong Kong government fees?
No. Captime's annual fee covers our professional service. The Business Registration Certificate (around HK$2,150 per year, set by the government) and the NAR1 filing fee are charged at cost and invoiced separately.
I'm overseas — how do we work together?
Entirely remotely. Document signing, share certificates, resolutions and filings are handled digitally. Calls are on Zoom. Most of our founders have never set foot in our Hong Kong office.
